Terms of Use

This is a one page website for a neighborhood bar. These terms cover your use of the website itself. Section 8 contains an agreement to resolve disputes individually and, in most cases, through arbitration rather than in court, and it explains how to opt out of that.
1. Agreement
These Terms of Use are between you and Well Wishes Silverlake OpCo LLC, doing business as The Silverlake Lounge ("we", "us", "our"). They apply to your use of thesilverlakelounge.com and any related pages we operate (the "Site"). By using the Site, and in particular by submitting your email address to our mailing list, you agree to these terms. If you do not agree, please do not use the Site.
2. What this Site is for
The Site exists to tell you where the bar is, when it is open, and how to hear from us. It is informational only. Nothing on the Site is an offer, a reservation, a ticket, a guarantee of entry, or a contract to provide any goods or services.
3. Hours, programming and information may change
We try to keep the Site accurate and current, but hours, programming, performers, events, pricing and availability can change, sometimes at short notice and sometimes without any update to this Site. Information on the Site is provided on an "as is" basis and may contain errors or omissions. Please contact us or check our Instagram before making a special trip. We are not liable for a wasted journey or for reliance on information that has changed.
4. Age and admission
The venue is a licensed premises. Guests must be 21 years of age or older with valid government issued identification to enter. Admission is at our discretion and subject to capacity, licensing conditions, applicable law and our house policies. Nothing on this Site guarantees admission on any given night.
5. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose or in breach of these terms.
- Attempt to gain unauthorized access to the Site, its servers, or any connected system.
- Interfere with the operation of the Site, including through automated scraping that places an unreasonable load on it, denial of service activity, or the introduction of malicious code.
- Submit an email address to our mailing list that is not yours or that you are not authorized to submit.
- Use our name, logo or brand assets in a way that suggests we endorse or are affiliated with you when we are not.
6. Intellectual property
The Site and its content, including text, layout, photographs, graphics and the name and marks of The Silverlake Lounge, belong to us or to our licensors and are protected by intellectual property law. You may view and print pages for your own personal, non commercial use. Any other use requires our written permission. Brand assets we make available for press and promotional use may be used only in accordance with any terms accompanying them.
7. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non infringement. We do not warrant that the Site will be uninterrupted, timely, secure or error free.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, arising out of or relating to your use of the Site. Our total aggregate liability arising out of or relating to the Site or these terms will not exceed one hundred United States dollars (USD 100).
Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud, for death or personal injury caused by negligence, or any statutory right you have as a consumer under California or federal law.
8. Dispute resolution
8.1 Talk to us first, and give us a chance to fix it
Most problems can be sorted out quickly and informally. Before starting any arbitration or court proceeding, you agree to send us a written notice describing the issue, what you want, and your contact details, by email to info@thesilverlakelounge.com or by post to the address in section 11. We agree to do the same for any claim we have against you.
We then have 60 days from receipt of that notice to resolve or cure the issue. Neither side may begin arbitration or litigation during that period. If we cure the issue within 60 days, you agree not to pursue the claim further. This requirement is a condition precedent to bringing any claim, and any applicable limitation period is tolled while it runs.
8.2 Arbitration
If we cannot resolve a dispute under section 8.1, you and we agree that the dispute will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, or by another established administrator we both agree on. The arbitration will take place in Los Angeles County, California, or by video or telephone at your election, and may be decided on documents alone where the rules allow. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this section.
Either of us may bring an individual claim in small claims court instead, if it qualifies, and either of us may seek injunctive relief in court to protect intellectual property rights.
8.3 Individual basis only
You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.
8.4 Public injunctive relief is preserved
Nothing in this section waives, and this section may not be read to waive, any right to seek public injunctive relief in a court of law where such relief cannot lawfully be waived, including under California law. Any claim for public injunctive relief is severed from arbitration and stayed pending the outcome of the arbitrable claims. If section 8.3 is found unenforceable as to a particular claim, that claim is severed from arbitration and heard in court, while the remaining claims proceed in arbitration.
8.5 How to opt out of arbitration
You may opt out of section 8.2 and section 8.3 without any effect on the rest of these terms. To do so, send us written notice within 30 days of first accepting these terms, stating your name, the email address you used, and that you are opting out of arbitration. Email info@thesilverlakelounge.com with the subject line "Arbitration Opt Out", or write to the postal address in section 11. Opting out will not affect your use of the Site or the venue in any way, and we will not treat you differently for doing it.
8.6 Costs
We will pay the arbitration filing, administration and arbitrator fees for any individual claim you bring where the amount in dispute is USD 10,000 or less, unless the arbitrator finds the claim was frivolous or brought for an improper purpose. Each side otherwise bears its own legal costs, except where a statute entitles a prevailing party to recover fees.
9. Governing law
These terms and any dispute arising out of them are governed by the laws of the State of California, without regard to its conflict of laws rules. Where a dispute is not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
10. General
If any provision of these terms is held unenforceable, that provision is limited or severed to the minimum extent necessary and the remainder stays in force. Our failure to enforce a provision is not a waiver of it. These terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. You may not assign these terms; we may assign them to a successor in connection with a sale or reorganization of the business. We may update these terms, and if we do we will change the date at the top of this page; material changes will not apply retroactively to a dispute that has already arisen.
